1. 本サービス The Service

Meliorra（以下「当社」）は、AI アシスタント（Claude 等）から MCP サーバー https://mcp.meliorra.co/mcp を通じて、宿泊施設の検索・空室確認・予約リクエストの送信を行えるサービス（以下「本サービス」）を提供します。本サービスの利用をもって、本規約に同意したものとみなします。

Meliorra ("we") provides a service that lets you search hotels, check availability, and send booking requests from your AI assistant via the MCP server at https://mcp.meliorra.co/mcp (the "Service"). By using the Service you agree to these terms.

2. 予約リクエストの性質 Nature of booking requests

• 本サービスで送信する「予約リクエスト」は宿泊施設への申込みであり、宿泊施設が承認（または即時確定の対象施設で在庫確認）された時点で予約が成立します。
• 宿泊契約は利用者と宿泊施設の間に成立します。当社は予約の仲介者であり、宿泊契約の当事者ではありません。
• 本サービス上で決済（支払い）は行われません。宿泊料金の支払い方法は、予約成立後に宿泊施設の案内に従ってください。
• キャンセルには宿泊施設のキャンセルポリシーが適用されます。キャンセル料が発生する場合、その精算は利用者と宿泊施設の間で直接行われます（当社は算定・徴収を行いません）。
• 宿泊施設が 24 時間以内に応答しなかった予約リクエスト、および料金の再提示に 24 時間以内に回答がなかった予約リクエストは、自動的に期限切れとなります。
• 表示される料金は日本円の見込み額です。入湯税・宿泊税等が別途かかる場合があり、確定額は宿泊施設の承認内容によります。

A booking request is an application to the hotel; a reservation is formed when the hotel approves it (or, for instant-booking properties, when inventory is confirmed). The accommodation contract is between you and the hotel — we act as an intermediary. No payment is processed through the Service; payment follows the hotel's instructions after confirmation. The hotel's cancellation policy applies; any cancellation fee is settled directly between you and the hotel (we neither calculate nor collect it). A request expires automatically if the hotel does not respond within 24 hours, or if you do not respond to a re-quoted price within 24 hours. Prices shown are estimates in Japanese yen; bathing tax, accommodation tax and the like may apply separately, and the final amount is as approved by the hotel.

3. アカウントと本人確認 Accounts and verification

予約機能の利用、および宿泊施設アカウントの登録には、メールアドレスの到達確認（確認コード）または Google アカウントによる本人確認が必要です。他人のメールアドレスの使用、虚偽の予約リクエスト、本サービスの運営を妨げる行為（過度なアクセスを含む）を禁止します。

Booking features and property account registration require a verified email address (confirmation code) or sign-in with a Google account. You may not use someone else's email address, submit fraudulent booking requests, or interfere with the operation of the Service (including excessive access).

4. 情報の正確性 Accuracy of information

施設情報の一部は AI による構造化推定を含みます。当社は正確性の確保に努めますが、料金・空室・設備等の最終的な内容は宿泊施設の承認内容が優先されます。

Some property information includes AI-generated structured estimates. While we strive for accuracy, the hotel's approved terms (price, availability, amenities) prevail.

5. 宿泊施設向けの料金（成果報酬） Fees for properties (success fee)

本条は、宿泊施設アカウントを登録して施設を公開する宿泊施設に適用されます。旅行者の方に料金はかかりません。

• 掲載料・月額費用・初期費用はかかりません。当社は、本サービス経由の予約について宿泊が完了したときに限り、宿泊代金（宿泊施設が承認した金額。料金の再提示を経た場合はその金額）に成果報酬率を乗じた成果報酬を申し受けます。キャンセル・否認・期限切れ・ノーショー（無連絡不泊）の予約には成果報酬はかかりません。
• 成果報酬率は、その宿泊施設アカウントの直近 12 か月の宿泊完了額（本サービス経由。デモ予約を除く）に応じた次の料金ランクで決まります。適用する料率は宿泊が完了した時点で確定し、実績の増減に応じてランクは上下します。

• 当社は、期間を定めて、上記より低い成果報酬率を適用するキャンペーン（創業パートナー枠・紹介プログラム・獲得キャンペーン等）を行うことがあります。キャンペーンの期間と料率は、開始時に管理コンソールに表示します。キャンペーンの期間が終了した後は、料金ランクどおりの成果報酬率が適用されます。キャンペーン期間中に完了した宿泊も、料金ランクの実績に算入します。
• 各宿泊施設に現在適用されている成果報酬率、その根拠、料金ランクの実績は、管理コンソールでいつでも確認できます。
• 当社が料金ランク表（料率または基準額）を改定する場合は、適用開始の 90 日前までに、登録メールアドレスへの通知および本ページへの掲示により告知します。契約期間中に料金ランク表を宿泊施設に不利な方向へ改定することはありません。キャンペーンの開始・終了、その終了により料金ランクどおりの成果報酬率が適用されること、および実績に応じたランクの上下は、ここでいう改定には当たりません。
• 成果報酬は月次で請求します。支払方法・期日は請求時にご案内します。

This section applies to properties that register an account and publish a listing; travelers pay nothing. There is no listing, monthly or set-up fee. We charge a success fee only when a stay booked through the Service is completed, calculated as the accommodation amount approved by the property (or the re-quoted amount, if any) multiplied by the success-fee rate. Cancelled, declined, expired and no-show bookings incur no fee. The rate is set by the pricing rank above, based on the account's completed-stay value over the last 12 months through the Service (demo bookings excluded); it is fixed when each stay is completed, and a property's rank moves up or down with its results. We may run time-limited campaigns (founding partners, referrals, launch offers) that apply a lower rate; the period and rate are shown in the console when a campaign starts, the pricing-rank rate applies once the campaign period ends, and stays completed during a campaign count towards the rank. The rate currently applied to a property, its basis and its rank progress are always visible in the console. If we revise the pricing-rank table (rates or thresholds) we will give notice at least 90 days before it takes effect, by email to the registered address and on this page, and we will not revise the table to a property's disadvantage during its contract term. The start or end of a campaign, the pricing-rank rate applying after a campaign ends, and rank movements based on results are not revisions for this purpose. Success fees are invoiced monthly; payment method and due date are stated on the invoice.

6. 会員ランクと特典 Member ranks and perks

本人確認済みの旅行者には、本サービス経由で直近 24 か月に宿泊を完了した回数に応じて会員ランク（ビジター / リピーター / 常連 / 上得意）が付きます。会員ランクに応じた特典は、各宿泊施設が任意に設定し、宿泊施設が提供する滞在中のサービスです。当社は特典の内容・提供を保証せず、特典は宿泊施設の都合により変更・終了されることがあります。会員ランクおよび特典は、金銭・ポイントその他の財産的価値に交換できず、譲渡できません。当社は会員ランクの基準を変更することがあります。

Verified travelers receive a member rank (Guest / Regular / Patron / Connoisseur) based on the number of stays completed through the Service in the last 24 months. Perks tied to a rank are in-stay courtesies that each property chooses to offer and provides itself. We do not guarantee any perk, and a property may change or end its perks. Ranks and perks have no cash or point value and cannot be exchanged or transferred. We may change the rank criteria.

7. 免責 Disclaimer and liability

当社は、本サービスを現状有姿で提供し、中断・エラーがないことを保証しません。当社の故意または重過失による場合を除き、当社の責任は利用者に現実に生じた直接かつ通常の損害に限られます。宿泊施設の提供するサービスの内容について、当社は責任を負いません。

The Service is provided "as is" without warranty of uninterrupted or error-free operation. Except in cases of our willful misconduct or gross negligence, our liability is limited to direct and ordinary damages actually incurred. We are not responsible for the services provided by hotels.

8. 規約の変更 Changes

当社は必要に応じて本規約を変更できます。変更後の規約は本ページに掲示した時点で効力を生じます。重要な変更は事前に告知します（宿泊施設向けの料金ランク表の改定は第 5 条の定めによります）。

We may update these terms; updates take effect when posted on this page. Material changes will be announced in advance (revisions to the pricing-rank table for properties follow Section 5).

9. 準拠法・管轄 Governing law

本規約は日本法に準拠し、本サービスに関する紛争は東京地方裁判所を第一審の専属的合意管轄裁判所とします。

These terms are governed by the laws of Japan; the Tokyo District Court has exclusive jurisdiction in the first instance.
